Terms of Service

1. Acceptance of terms

By creating an account or using Realastat ("the Service") — a product of Catalyst Collective, LLC, a Delaware limited liability company doing business as Realastat ("we," "us," "our") — you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of the service

Realastat is a rental property underwriting tool operated by Catalyst Collective, LLC that uses AI to extract data from listing screenshots and calculate investment metrics such as cash flow, cap rate, DSCR, and cash-on-cash return. The Service is intended to assist your analysis, not to replace professional financial, legal, or tax advice.

3. Not investment advice — AI limitations

The outputs generated by Realastat — including cash flow projections, return estimates, projections, and any other analysis — are for informational purposes only and do not constitute investment, financial, legal, or tax advice. All investment decisions are your own responsibility.

Realastat uses AI models (including third-party models from OpenAI and/or Anthropic) to extract data from listing screenshots. AI extraction is not perfect: figures may be misread, fields may be missed, and results may contain errors. You should always verify extracted data against the original listing before relying on any analysis. We make no representations or warranties regarding the accuracy, completeness, or fitness for any particular purpose of any analysis result.

4. Accounts

You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, scrape, or extract the Service's AI models or data pipelines
  • Upload content that infringes third-party intellectual property rights
  • Resell or sublicense access to the Service without written permission
  • Interfere with the Service's infrastructure or security
  • Use the document storage feature for purposes other than real estate deal analysis — including using it as a general-purpose file hosting service or uploading files unrelated to your deals
  • Upload documents or files that contain malware, executable code, or content designed to exploit vulnerabilities in the Service or its users
  • Use the CRM (contacts, buyer lists, or deal pipeline) to store data obtained through unauthorized means, to send unsolicited commercial messages, or in violation of applicable anti-spam or privacy laws (including CAN-SPAM and TCPA)
  • Automate bulk creation of contacts, deals, or documents at a rate that exceeds normal human usage or that circumvents plan limits — including using scripts, bots, or other automated tools to mass-import data beyond what the platform is designed to support
  • Attempt to circumvent rate limits, usage caps, or plan restrictions through account sharing, coordinated requests, IP rotation, or any other technical means

6. Free trial

New accounts may be offered a free trial period as described on the pricing page at the time of sign-up. Free trials are limited to one per person or organization. At the end of your free trial, continued use of paid features requires selecting a paid plan. We reserve the right to modify or discontinue free trial offers at any time.

7. Plans, billing, and cancellation

Paid plans are billed monthly on a recurring basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. All payments are processed by Stripe. You may cancel your subscription at any time from your profile settings; cancellation takes effect at the end of the current billing period and you will retain access through that date. We do not offer refunds for partial months or unused analyses.

We reserve the right to modify pricing with 30 days' notice communicated by email or in-app notice. Continued use after a price change constitutes acceptance of the new pricing.

8. Usage limits and rate limiting

Each plan includes a fixed number of analyses and re-analyses per month, as well as limits on saved deals and documents. Limits reset on your billing date. Unused analyses do not carry over to the next period.

To protect the Service for all users, we apply automatic rate limiting on API endpoints. This includes limits on the frequency of document uploads, bulk imports, contact creation, and AI-powered analysis requests. Requests that exceed these limits will receive a 429 Too Many Requests response and may be retried after a short delay. Rate limits are applied per IP address and, where applicable, per authenticated account.

We reserve the right to throttle, restrict, or suspend accounts that abuse the Service, exceed usage limits, or attempt to circumvent rate limiting controls.

9. Your content

You retain ownership of all content you upload (listing screenshots, notes, and deal data). By uploading content, you grant us a limited license to process it solely to provide the Service to you. We do not use your deal data to train AI models or share it with third parties beyond what is necessary to operate the Service.

10. Intellectual property

The Service, including its design, code, AI models, and branding, is owned by Catalyst Collective, LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use our trademarks or proprietary technology.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST COLLECTIVE, LLC (D/B/A REALASTAT) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Catalyst Collective, LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) any content you upload or submit through the Service; or (d) your violation of any third-party right, including intellectual property or privacy rights.

14. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, with or without prior notice. You may delete your account at any time from your profile settings. Upon termination, your deal data will be deleted within 30 days. Sections 3, 9, 10, 11, 12, 13, 15, 16, 17, and 18 survive termination.

15. Force majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or infrastructure outages, or failures of third-party service providers.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Before initiating formal legal proceedings, you agree to contact us at legal@realastat.ai and give us 30 days to attempt to resolve the dispute informally. If the dispute is not resolved, it shall be submitted to the courts of Delaware, and you consent to personal jurisdiction there.

17. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

18. General

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalyst Collective, LLC regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
